Khaitan & Co advised FMC Corporation on divestment of India crop protection commercial business to Crystal Crop Protection for USD 252 million

Khaitan & Co advised FMC Corporation on the divestment of its India crop protection commercial business to Crystal Crop Protection for a total consideration of USD 252 million. The transaction was undertaken through definitive agreements for the sale of 100% equity stake in FMC India, which houses FMC’s India crop protection commercial business.

The Firm advised FMC Corporation on structuring the transaction, preparation of vendor due diligence report, internal reorganisation of the company, bid stage strategy, antitrust analysis and advice, negotiation with bidders, and finalisation of transaction documents, including the share purchase agreement, side letter agreement, and ancillary agreements such as intellectual property licence agreement, innovation access agreement, transition services agreement, supply agreement, and reverse supply agreement.

The deal for FMC Corporation was led by Surbhi Kejriwal (Partner) and Anshuman Mozumdar (Partner), with Dipshikha Dhar (Principal Associate), Nikhil Singh (Senior Associate) and Ashutosh Mishra (Senior Associate).

Corporate aspects were led by Ayush Nanda (Partner); competition aspects by Anshuman Sakle (Partner); intellectual property aspects by Nirupam Lodha (Partner); and direct tax aspects by Vinita Krishnan (Executive Director) and Sneh Shah (Partner).
