The India’s leading law firm, Khaitan & Co advised Bajaj Electricals Limited in relation to the acquisition of the Morphy Richards brand and other associated intellectual property rights from Glen Electric Limited across India, Bhutan, Bangladesh, Nepal, Sri Lanka and the Maldives. The transaction involved the acquisition of trademarks along with associated goodwill, domain names and social media accounts across multiple jurisdictions.
Khaitan & Co assisted with drafting, reviewing and negotiating the sale and purchase agreement, and advised on stamp duty considerations arising from the proposed assignment of trademarks, domain names and social media accounts from an intellectual property perspective. The Firm also coordinated with local counsel across Sri Lanka, Bangladesh, Bhutan, Nepal and the Maldives to finalise jurisdiction-specific assignment agreements.
