Dentons assists IMC Industrial Group in divesting shares in PT Nusa Indah Kalimantan Plantations

The company intends to focus on the shipping sector

The IMC Industrial Group, a leading provider of integrated industrial supply chain and logistics solutions, has decided to divest all its indirect ownership of shares in PT Nusa Indah Kalimantan Plantations, a plantation company in East Kalimantan. The latter has acquired 100 percent shares from the sellers.

Dentons HPRP acted as a legal counsel for the seller, becoming the sole legal counsel in the transaction. The unique part of the transaction was that both entities are Denton’s clients. To represent the seller, they needed waivers/clearance from the buyer for the transaction.

The transaction documents and the conditions precedent documents were solely prepared by Denton’s team, led by a partner, Al Hakim Hanafiah, and supported by associate lawyers Sari Veratiwi (senior associate), Rafi Andiandra Wardhana (associate), Gozha Primanda (associate), Fremi Rovi Raturandang (associate), Alma Almira (associate), and Shevanya Raina Kinanti Putri (associate).

The firm provided clarification on all legal matters in the transaction both to the buyer and the seller.

As a leading law firm with wide-ranging and in-depth knowledge in business and corporate actions, Dentons provides strategic advisory and comprehensive legal assistance to corporations in their business in Indonesia.
