The leading law firm in India, Cyril Amarchand Mangaldas advised Axis Finance Limited and Axis Bank Limited on the proposed investment of INR 750 Crores in Axis Finance Limited by Kedaara Capital, April 26, 2026, Mumbai.
The transaction involves an investment by Kedaara Capital through its entities, Kedaara Capital Fund IV AIF (resident entity) and Kedaara Pearl Holding (non-resident entity), collectively referred to as the Investors, by way of a primary infusion as growth capital. The investment comprises a subscription to approximately 5% of the issued and subscribed paid-up share capital of Axis Finance Limited, for an aggregate consideration of approximately INR 750 Crores.
The completion of the transaction is subject to customary regulatory approvals and closing conditions.
Axis Finance Limited is a public limited company registered with the Reserve Bank of India as a systemically important non-deposit taking NBFC and classified as NBFC – Middle Layer (NBFC-ML). As on the execution date, Axis Bank Limited holds 100% shareholding in the Company, making it a wholly owned subsidiary.
