Werksmans advised Ibex Investment Holdings on landmark Pepkor bookbuild

The leading South African corporate and commercial law firm, Werksmans, advised Ibex Investment Holdings, formerly Steinhoff International, as the South African lead legal advisor on one of the largest bookbuilds ever undertaken in South Africa.

The transaction, which raised approximately ZAR 26.6 billion and attracted significant local and international investor interest, involved the accelerated placing of shares in Africa’s largest clothing retailer, Pepkor Holdings Ltd (“Pepkor”), by Ainsley Holdings (Pty) Ltd and SAHPL (Pty) Ltd, both indirectly wholly owned subsidiaries of Ibex Topco B.V. A total of 1.045 billion Pepkor shares — representing about 28% of Pepkor’s issued share capital — were sold through the bookbuild.

This significant transaction reflects the trust placed in Werksmans to advise on and execute complex, high-value deals under tight timelines.
