
Khaitan & Co advised Hillhouse Investment Management on Minority Investment in Quest Global
The leading law firm in India, Khaitan & Co advised Hillhouse Investment Management on its minority investment in Quest Global pursuant to a competitive process. The transaction includes both secondary investments and a primary investment post-reorganisation through an inbound cross-border merger, marking one of Hillhouse’s most prominent minority investments to date. The investment comes at a time when Quest Global is actively preparing for an Indian IPO.
The Khaitan & Co deal team consisted of Sharad Moudgal (Partner), Aniruddha Basu (Partner), Divya M Gupta (Principal Associate), and Raksha H R (Associate), with support from Insaf Ahamad T K (Associate) on legal due diligence, Anisha Chand (Partner), Soham Banerjee (Counsel), and Toshika Soni (Associate) on antitrust aspects, Thomas George (Partner) on capital markets aspects, and Anshul Khemuka (Partner) on direct tax aspects.
The Firm’s role included structuring (including direct tax), due diligence, and review, drafting, and negotiation of transaction documents such as the supplemental deed for the shareholders’ agreement, share purchase agreements, and allied documents.
