Khaitan & Co advised GEF Capital Partners on Acquisition of Significant Minority Stake in Arya.ag
The leading law firm in India, Khaitan & Co acted as legal counsel to GEF Capital Partners in connection with its acquisition of a significant minority stake in Arya.ag, an integrated grain commerce and agritech platform, through a combination of primary and secondary investments aggregating approximately USD 80 million. The transaction was structured as a mix of primary issuance and secondary share purchases, with a portion of the equity subscribed to new shares and a portion providing liquidity for existing shareholders.
The round was led by GEF Capital Partners, with Avendus Capital acting as exclusive financial adviser to Arya.ag. Arya.ag operates an integrated grain commerce platform, offering pre-harvest advisory, storage, instant finance, and market linkages to agricultural producers, aiming to bridge structural inefficiencies in Indian agriculture and enable farmers and FPOs to make informed decisions supported by warehousing, data insights, and financial products.
