Cyril Amarchand Mangaldas advised Amphenol Corporation on open offer for ADC India Communications Limited
The India’s leading full-service law firm, Cyril Amarchand Mangaldas acted as legal counsel to Amphenol Corporation in connection with the mandatory open offer made to the public shareholders of ADC India Communications Limited, an Indian listed company on BSE Limited, under the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. The open offer was triggered following Amphenol Corporation acquiring the right to direct the exercise of approximately 72% voting rights and control over the target company.
The acquisition forms part of a global transaction involving the purchase of the connectivity and cable solutions business of Vistance Networks, Inc. (formerly CommScope Holding Company, Inc.), pursuant to which Amphenol acquired 100% equity interests in CommScope Technologies LLC and related Indian entities, including a listed entity.
