Khaitan & Co advised Amneal Pharmaceuticals on acquisition of 100% stake in Kashiv Biosciences for up to USD 1.075 billion
The India’s leading law firm, Khaitan & Co is representing Amneal Pharmaceuticals, LLC as India counsel, alongside Simpson Thacher & Bartlett LLP, in relation to its announced agreement to acquire 100% of Kashiv Biosciences LLC, a vertically integrated biopharmaceutical company incorporated in the United States, along with its two Indian subsidiaries Kashiv Biosciences Private Limited and Kashiv Research Private Limited.
The transaction consideration includes USD 375 million in cash and USD 375 million in equity payable at closing, along with up to USD 350 million in potential milestone-based payments, commercial royalties, and funding of operations through closing. The transaction is expected to close in the second half of 2026, subject to shareholder approval, regulatory approvals and customary closing conditions.
Khaitan & Co acted as India counsel to Amneal, assisting with legal and tax due diligence, India law structuring advisory, and transaction documentation.
