
Cyril Amarchand Mangaldas Advised Central Bank Of India On Joint Venture With Generali And Related Insurance Sector Agreements
Cyril Amarchand Mangaldas advised Central Bank of India (“CBI”) in connection with its entry into a joint venture arrangement with Generali Participations Netherlands N.V. (“Generali”), and the execution of several additional transaction documents.
The law firm assisted CBI in entering into the following key agreements:
- Shareholders agreement with Generali and Future Generali India Life Insurance Company Limited (“FGILICL”);
- Shareholders agreement with Generali and Future Generali India Insurance Company Limited (“FGIICL”);
- Trademark licensing agreement with Generali;
- Corporate agency agreement with FGILICL; and
- Corporate agency agreement with FGIICL.
It is notable that CBI has acquired a 25.18% stake in FGILICL and a 24.91% stake in FGIICL through the corporate insolvency resolution process of Future Enterprises Limited, under the Insolvency and Bankruptcy Code, 2016. The scope of Cyril Amarchand Mangaldas‘ work included advising CBI on its entry into the insurance sector as a “promoter,” and drafting, negotiating, and finalising the terms of each of the transaction documents.
The transaction Cyril Amarchand Mangaldas was led by Indranath Bishnu (Partner and Head – Insurance) and Pranjita Barman (Partner); with support from Anirud Sudarsan R (Principal Associate), Subhalaxmi Hota (Associate), and Saakshi Tibrewal (Associate).
The transaction was signed on June 27, 2025.
