Cyril Amarchand Mangaldas advised Adani Ports and Special Economic Zone Limited (“Company”) on its acquisition of 100% shareholding in Abbot Point Port Holdings Pte. Ltd. (“Abbot”) from Carmichael Rail and Port Singapore Holdings Pte. Ltd. (“CRPSHPL”). The acquisition will be undertaken for consideration other than cash, through the issuance and allotment of equity shares of the Company by way of a preferential issue under the SEBI (ICDR) Regulations, 2018.
The transaction involves an FDI-ODI share swap, with a transaction value of approximately INR 17,244 crores. Under the deal, the Company will acquire 100% of Abbot from CRPSHPL in exchange for equity shares of the Company. The share subscription and purchase agreement was executed on 17 April 2025. The transaction’s completion remains subject to customary conditions precedent, including regulatory and shareholder approvals.
