Khaitan & Co Assist Dhunseri Group On Internal Re-Organization Of Shareholding In Companies

Khaitan & Co has guided Dhunseri Group on an internal re-organization of the shareholding in the companies by way of inter-se promoter group share transfers.
The companies are Dhunseri Investments (acquisition of 8.79 percent shareholding of Dhunseri Ventures from Naga Dhunseri Group and Naga Dhunseri Group’s acquisition of 45.77 percent shareholding of Dhunseri Tea and Industries from Dhunseri Investments.
Naga Dhunseri aims to consolidate and strengthen its focus on tea business, while Dhunseri Investments seeks to consolidate and increase its interest in Dhunseri Ventures, having interests in the petrochemical business.
The Khaitan & Co team advised on the structuring of the transaction and assisted in drafting, reviewing, negotiating, and finalizing the transaction documents and on corporate and secretarial aspects.
